As a homeowner (member) of OPCCOA, I am an extremely dissatisfied client of Earnshaw & Shearer, PLLC. In my opinion, Attorney Jay Shearer has a fiduciary duty to protect the legal interests of all his clients, not just the seven Board members. He failed me, his client, who is one of approximately 640 member homeowners in the association, by drafting proposed amended bylaws that intentionally lacked the following: - A Code of Ethics (Conduct) that typically holds Board members accountable. - Any term limits on Board members, allowing the potential for a monopoly where leaders effectively become Board Members for life. - Legal provisions allowing conflicts of interest, enabling Board Members to conduct business with the Association they serve. - Significantly reducing the number of votes
As President of the OPCCOA I can say with confidence that Jay is an excellent attorney for our association and has been for years. He is always responsive to our needs and went above the call of duty in assisting us in developing our new bylaws document. I can only say to discount the negative comments from a disgruntled resident who wanted to do things differently and constantly presented false information on Facebook. We ended up with a concise and legal document.
